Summit Fund Counsel is a boutique securities law practice focused on private fund formation and the regulatory exemptions fund managers actually use.
The founding attorney served as a former Deputy Attorney General in the New Jersey Division of Law, and has a background in securities and regulatory matters. That experience shapes how the firm approaches fund formation: documents and structures built to withstand scrutiny, not just to close a deal.
The firm focuses on a narrow lane — emerging fund managers launching Reg D and Reg A offerings, structuring 3(c)(1) and 3(c)(7) vehicles, and navigating Investment Company Act and adviser registration compliance. We don't try to be everything to everyone. We do fund formation, and we do it well.
